1. Acceptance
These Terms incorporate our Privacy Policy and Cookie Policy.
By accessing nexovo.ca or engaging our services, you agree to these Terms.
2. Website use
- Content is for general information and may change without notice.
- Do not misuse the site (e.g., scanning, scraping, interfering with security).
- We may suspend or restrict access at any time.
3. Proposals & Statements of Work (SOWs)
Services, deliverables, timelines, and fees are defined in a signed SOW or Master Services Agreement (MSA). If there is any conflict, the MSA/SOW supersedes these Terms for that project.
4. Client responsibilities
- Provide accurate information, timely feedback, and required system access.
- Ensure you have rights to materials you provide.
- Designate a point of contact for decisions and approvals.
5. Fees & payment
- Invoices are due Net 15 unless otherwise stated.
- Late payments may incur interest of 1.5% per month (or the maximum allowed by law).
- Taxes are additional where applicable.
6. Intellectual property
- Pre-existing IP: each party retains ownership of its pre-existing IP.
- Deliverables: unless stated otherwise in the SOW, ownership transfers to you upon full payment; Nexovo retains a non-exclusive right to reuse generic know-how and non-proprietary components.
- Third-party software: subject to their respective licenses.
7. Confidentiality
Both parties will protect non-public information disclosed for the project and use it only for the intended purpose.
8. Warranties & disclaimers
We warrant professional services performed with reasonable skill and care. Except as expressly stated, the site and services are provided “as is” without warranties of merchantability, fitness, or non-infringement.
9. Limitation of liability
To the fullest extent permitted by law, Nexovo is not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability is limited to the amounts paid for the services giving rise to the claim in the 12 months preceding the event.
10. Indemnity
You agree to indemnify Nexovo against claims arising from content or materials you supply, or improper use of the services.
11. Termination
Either party may terminate a project per the SOW. Upon termination, you pay for services performed and non-cancelable commitments.
12. Governing law
These Terms are governed by the laws of Alberta, Canada, and applicable Canadian law. Venue: courts in Edmonton, Alberta.
13. Changes to Terms
We may update these Terms; continued use indicates acceptance.
